Custom participations administration software for a holding company
Appfront builds software that enables holding companies and investment companies to manage their participations: the structure, the interests per company, the shareholders' register, the decisions and the deadlines running for each company. One place where the question 'who holds what, since when, and what needs to happen this month' has an answer.
What is participations administration software?
A participations administration records which companies belong to the group, who holds which interest and since when, which decisions have been taken and which obligations apply to each company. The shareholders' register, articles of association, shareholder agreements and proxies sit with the company they belong to, and the deadlines arising from law and those documents are kept in a single calendar.
Without software, this information sits with the notary, the accountant, in a folder structure and in the director's head. That works with three companies. With fifteen, including minority stakes, management options and a structure that changes every year, it becomes a problem: no one is certain that each company's shareholders' register is up to date, and a filing deadline gets missed because it appeared in no calendar at all.
We build custom software because every structure is different. A family office with property companies has different needs from an investor holding minority stakes in start-ups, and an entrepreneur with an operating company in each country has different needs again. The software should follow your structure and your agreements, with an integration to the financial administration you already run.
Structure and shareholdings
The group as a structure, showing for each company who holds which stake, which class of shares, and since when. Traceable through its history.
Registers and resolutions
The shareholders' register for each company, the articles of association, the agreements and the resolutions, with who signed and when.
Deadlines per company
Annual accounts, filing, general meetings, options and extensions in one calendar, with an owner for each deadline.
How we build your holding administration software
We start with the structure as it stands today, and with the documents that show it. From there it follows what the software needs to record and which deadlines it must track.
Which companies, which stakes, which agreements. We take the structure from the documents and set it against what is in people's heads; the difference is the first gain.
The shareholders' register for each company, with changes since incorporation, so that every stake can be traced back to a transfer or an issue of shares.
Resolutions recorded with the supporting documents, and the deadlines from law and agreements placed in a calendar with an owner and an alert.
Dividends, intercompany loans and management fees link to the financial administration. After that, we take over running the software.
What holding administration software does in practice
The components below come up in almost every holding. Which ones you need depends on the size and dynamics of your structure.
Structure overview
The group as a tree, with stakes, classes of shares and the date of each change. Viewable historically, as at any date.
Shareholders' register
The register for each company with all changes, issues and transfers, traceable to the deed.
Resolutions and powers of attorney
Shareholder resolutions, board resolutions and powers of attorney, with the supporting documents and who signed when.
Deadline calendar
Annual accounts, filing, meetings, extensions and options per company, with an owner and an advance alert.
Dividends and intercompany
Dividend distributions, loans and fees between companies recorded and linked to the bookkeeping.
Access by role
Director, accountant, notary and co-shareholder each see what belongs to their role, and no more.
Who we build holding administration software for
The software is intended for structures where the administration is too large for a folder and too specific for an off-the-shelf package.
Holdings with several operating companies
A company per activity or per country, with management participations and intercompany flows that must reconcile.
Family offices
Wealth spread across companies, with family members as shareholders and agreements that carry across generations.
Investment companies
Minority stakes in businesses that are themselves changing, with shareholder agreements, options and exit arrangements for each holding.
Growing entrepreneurs
The structure has outgrown the folder, and the accountant asks for documents nobody can find quickly.

The software is a web application with role-based access and an integration to your financial administration. For the accountancy side there is accountant software, and you can read about our approach at building software.
Why choose Appfront for custom shareholdings management software?
A shareholdings register is only worth something if it matches the deeds. That is where our work starts, not with the screens.
Traceable to the deed
Every interest recorded in the software can be traced back to an issue or a transfer with the document attached. Anything that cannot be traced appears as an open point rather than as a fact.
Deadlines with an owner
A deadline without an owner is a deadline that gets missed. Every deadline in the calendar has a named owner and an early alert.
Your own software, your own data
The structure of your group is not something you want to rely on a subscription that could disappear tomorrow. The code and the data belong to you.
Security and privacy in shareholdings management software
The register holds information about shareholders, interests and agreements that should not leave a small circle. Access is governed by role and by company: a fellow shareholder sees the company they hold a stake in, the accountant sees the documents they need, and every view is logged.
Registers and resolutions are locked once recorded. A correction sits alongside the original entry, with the name, time and reason attached. The history of any interest can therefore be reconstructed as at any date, which is exactly what a buyer or a notary asks for in a dispute or a sale.
Frequently asked questions about shareholdings management software
Questions that holding company directors ask before getting started.
The administration of the companies within a group: which companies exist, who holds which interest and since when, which resolutions have been passed, and which deadlines run for each company. The shareholders' register, articles of association and agreements are kept with the company they belong to.
The software maintains the register for each company, with all changes and the documents that evidence them. Whether that digital register counts as the statutory register depends on how you set it up and on your notary; we build it so that it can be printed and signed as the register at any time.
Yes. Annual accounts, filing, general meetings, renewals of agreements and exercise of options are placed per company in a calendar, with an owner and an early alert. We take the applicable deadlines from the law and from your own agreements.
Yes, through their own role that only shows what they need. The accountant sees the documents for the annual accounts, the notary sees the registers and deeds. An export in the format they request is included.
As interests with conditions: who may exercise, when, at what price and under which circumstances. The conditions are held with the interest, the deadlines appear in the calendar, and on exercise the change flows through the register.
Yes. Dividends, intercompany loans and management fees are recorded in the administration and reconcile with the accounting of the companies involved, so the amounts match on both sides.
With three companies and one shareholder, a well-organised folder and a calendar will do, and we will say so. The software pays off once there are several shareholders, interests with conditions, or so many companies that no one is sure every register is up to date.
