Electronic Signatures and Dutch Law

Is an electronic signature legally binding? Yes, but the appropriate level depends on the document type. The eIDAS Regulation and the Dutch Civil Code define three levels.

Certain documents in the Netherlands still require a notarial deed and cannot be signed electronically: mortgage deeds, wills, articles of association of a BV, prenuptial agreements and the deed of transfer in property sales.

Where the law requires a written form, this can be satisfied with an electronic signature, provided the method is sufficiently reliable given its purpose and the circumstances. DocuSign's audit trail, authentication and tamper detection more than meet this requirement.

JWT vs. Authorisation Code

JWT Grant (we recommend this)

Server-to-server, no user required. Ideal for automated workflows: generate a contract on an event in AFAS → DocuSign → webhook back. Uses an RSA key pair. One-off consent per user.

Authorisation Code Grant

For multi-user apps where each user works from their own DocuSign account. The access token expires after 8 hours, the refresh token after 30 days. More complex, but necessary for user-specific templates.

Go-Live Review

DocuSign requires a Go-Live review before your integration can move to production. They check the OAuth implementation, error handling, and correct use of Connect webhooks (rather than polling). We have been through this process dozens of times and know exactly what they expect.

Frequently Asked Questions about DocuSign Integration

Yes. Under the European eIDAS Regulation and the Dutch Civil Code (Art. 6:227a), electronic signatures are legally valid for the vast majority of business documents. Exceptions include notarial deeds (mortgages, incorporation of a BV, wills), which still require a notary.

SES (Simple Electronic Signature) uses email authentication and is sufficient for commercial contracts, employment agreements and NDAs. AES (Advanced) adds identity verification and suits financial documents. QES (Qualified) is the highest level, equivalent to a handwritten signature, and is required for some public sector tenders.

Yes, this is one of our most requested integrations. We connect AFAS via GetConnectors/UpdateConnectors to the DocuSign API. Contracts are generated automatically from AFAS data, signing status is written back, and signed PDFs are stored in the AFAS file.
